This Client Responsibility & Dependency Clause (“Clause”) defines the obligations, dependencies, and accountability of clients engaging with 10XDigitalNetworks (“Company”, “we”, “us”, “our”). This Clause forms an integral part of our contractual framework and must be read in conjunction with our Terms & Conditions, Payments, Billing & Milestones Policy, and Refund & Cancellation Policy.

By engaging our services, the Client acknowledges and accepts the responsibilities outlined herein.

The Client acknowledges that professional services delivered by 10XDigitalNetworks operate within a mutual dependency framework, wherein timely delivery and quality outcomes are contingent upon the Client’s active participation, decision-making, and cooperation.

The Company’s obligations are inherently dependent on the Client fulfilling their responsibilities as defined under this Clause.

The Client is responsible for providing, in a timely manner:

• Complete and accurate information
• Content, creatives, data, and brand assets
• Access credentials to platforms, tools, or systems
• Approvals, confirmations, and feedback

Any delay, inaccuracy, or omission in providing the above shall:

• Automatically extend project timelines
• Relieve the Company from liability arising from such delays
• Not constitute a breach on the part of 10XDigitalNetworks

3. Approvals & Decision-Making

The Client agrees that:

• Delayed approvals or indecision shall directly impact delivery schedules
• Approvals once granted shall be deemed final unless otherwise agreed in writing
• Changes in direction after approval may be treated as scope changes

The Company shall not be held responsible for outcomes arising from delayed, conflicting, or reversed decisions made by the Client.

• Outcomes influenced by Client-directed decisions shall not be attributable to the Company

5. Timeline Adjustments & Delivery Impact

Project timelines communicated by the Company are indicative and based on assumptions of timely Client cooperation.

In the event of Client-caused delays:

• Timelines shall be revised without penalty
• Delivery dates shall shift proportionately
• Resource allocation may be adjusted based on availability

Such adjustments shall not entitle the Client to refunds, fee reductions, or claims of non-performance.

6. External Dependencies & Third-Party Platforms

The Client acknowledges that certain services rely on third-party platforms, tools, vendors, or service providers.

10XDigitalNetworks shall not be liable for:

• Platform outages
• Policy changes
• Performance limitations
• Actions or failures of third-party providers

7. Outcome Variability

The Client understands that outcomes are influenced by multiple variables, including but not limited to:

• Market conditions
• Competitive activity
• Budget allocations
• Client execution
• External economic or regulatory factors

Accordingly, no outcome-based liability shall arise solely due to such variables.

8. No Attribution of Client Defaults

Failures arising from Client-side defaults—including delayed inputs, withheld approvals, non-payment, or unilateral changes—shall not be attributed to 10XDigitalNetworks.

The Company shall not be held responsible for resulting delays, cost escalations, or performance deviations.
