Force Majeure Policy

Effective Date: 07th Feb 2026

This Force Majeure Policy (“Policy”) defines circumstances under which 10XDigitalNetworks (“Company”, “we”, “us”, “our”) shall be excused from performance, delay, or non-performance of its obligations due to events beyond its reasonable control. This Policy forms an integral part of our contractual framework and must be read in conjunction with our Terms & Conditions and other applicable policies.

By engaging our services, the Client acknowledges and agrees to this Policy.


1. Definition of Force Majeure Events

A “Force Majeure Event” shall include, but not be limited to, any event or circumstance beyond the reasonable control of the Company, including:

  • Acts of God, natural disasters, floods, earthquakes, fires, or pandemics
  • War, terrorism, civil unrest, riots, or governmental actions
  • Changes in laws, regulations, or government policies
  • Power failures, internet outages, or infrastructure disruptions
  • Failures, outages, or policy changes of third-party platforms, tools, or service providers
  • Labour disputes, strikes, or unavailability of essential personnel
  • Any other event that renders performance impracticable or impossible

2. Effect on Obligations

In the occurrence of a Force Majeure Event:

  • The Company’s obligations shall be suspended for the duration of the event
  • Timelines shall be extended proportionately without penalty
  • The Company shall not be held liable for delays, failures, or interruptions in service

Such suspension shall not constitute a breach of contract.


3. Client Obligations During Force Majeure

During a Force Majeure Event:

  • The Client shall continue to honour all undisputed payment obligations
  • Fees already paid shall remain non-refundable
  • The Client shall cooperate in good faith to mitigate impact where reasonably possible

4. Notification

Where reasonably practicable, the Company shall notify the Client of the occurrence of a Force Majeure Event and its expected impact on services.

Failure to provide immediate notice shall not invalidate relief under this Policy.


5. Resumption of Services

Upon cessation of the Force Majeure Event:

  • Services shall resume as soon as reasonably practicable
  • Revised timelines shall be communicated
  • Resource allocation may be adjusted based on availability

6. Extended Force Majeure

If a Force Majeure Event continues for an extended period rendering performance commercially impracticable:

  • Either party may propose termination of the affected engagement
  • Such termination shall not entitle the Client to any refund
  • Payments already made shall remain payable and retained

7. Policy Amendments

10XDigitalNetworks reserves the right to amend this Policy at any time. Amendments shall take effect upon publication on the Website.

Continued engagement following such amendments constitutes acceptance of the revised Policy.
